1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Coder Sports Academy website, services, and any associated content or software applications (collectively, the “Services”). The Services are provided by Coder Sports Academy Ltd. (“Coder Sports Academy”, “we”, “us”, or “our”). By accessing, browsing, or using our Services, you (“user”, “you”, or “your”) agree to comply with and be legally bound by these Terms. If you do not agree to all the terms and conditions, you may not access or use the Services.
2. Scope of Services
Coder Sports Academy offers a variety of coding and technology courses, workshops, and events for children and young adults. Our Services may include, but are not limited to, online courses, in-person classes, virtual workshops, access to learning resources, and support from instructors. We reserve the right to modify, expand, or discontinue any part of our Services at any time, without prior notice. We also reserve the right to change or update the content, format, or delivery method of our Services, as well as the fees associated with them.
3. User Eligibility and Registration
In order to access and use certain features of the Services, you may be required to create an account and provide accurate and complete information about yourself, including your name, email address, and other personal information. By creating an account, you represent and warrant that:
a. You are at least the age of majority in your state or province of residence or have the consent of a parent or legal guardian;
b. You have the legal capacity and authority to enter into these Terms;
c. All the information you provide during the registration process is accurate, complete, and up-to-date;
d. You will maintain and update your account information as needed to ensure its accuracy and completeness;
e. You will not create an account for anyone other than yourself without the express permission of the other person.
We reserve the right to refuse access to the Services, terminate accounts, or remove or edit content in our sole discretion.
4. Intellectual Property Rights
All content and materials provided through the Services, including but not limited to text, graphics, images, logos, videos, software, and any other intellectual property rights, are owned by Coder Sports Academy or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. By using our Services, you acknowledge and agree that you do not acquire any ownership rights in any of the content or materials available on the website.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes, in accordance with these Terms. You may not modify, reproduce, distribute, create derivative works of, publicly display, or publicly perform any part of the Services without our prior written consent. Any unauthorized use of the Services may result in the termination of your access to the Services and may subject you to legal liability.
5. User Conduct
As a user of the Services, you agree to use the Services in a responsible and lawful manner, in compliance with all applicable laws, rules, and regulations. You agree not to:
a. Engage in any activity that infringes on the rights of others, including intellectual property rights, privacy rights, or other rights;
b. Use the Services for any illegal or unauthorized purposes, including but not limited to hacking, phishing, spamming, or other activities that may harm the Services or its users;
c. Post, upload, or transmit any content that is abusive, threatening, harassing, defamatory, obscene, pornographic, or otherwise objectionable;
d. Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
e. Attempt to gain unauthorized access to the Services, other users’ accounts, or computer systems or networks connected to the Services.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these Terms, including but not limited to removing the offending content, suspending or terminating the user’s access to the Services, and reporting the user to the appropriate authorities.
6. Payment and Refund Policy
Certain Services offered by Coder Sports Academy may require payment of fees. By purchasing any paid Services, you agree to pay the applicable fees and any applicable taxes. All fees are non-refundable, except as required by law or as stated in a specific course, workshop, or event refund policy. We reserve the right to change the fees for our Services at any time and will provide you with notice of any such changes.
If you are not satisfied with a paid Service or if you believe there is an error in the billing, please contact our customer support team. We will review your request and, if appropriate, issue a refund or credit at our sole discretion.
7. Intellectual Property Rights

By submitting, posting, or sharing User-Generated Content, you represent and warrant that you have all necessary rights to do so and that the User-Generated Content does not infringe on the rights of any third party.
You grant Coder Sports Academy a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User-Generated Content in connection with the Services, subject to our Privacy Policy.
You are solely responsible for your User-Generated Content and the consequences of posting or sharing it. Coder Sports Academy does not endorse any User-Generated Content and expressly disclaims any and all liability in connection with User-Generated Content.
We reserve the right, but are not obligated, to monitor, review, or remove User-Generated Content at our sole discretion, without notice, and for any reason, including but not limited to content that we believe violates these Terms, is offensive, or is otherwise inappropriate.
9. Privacy Policy and Data Protection
Your privacy is important to us. Coder Sports Academy’s Privacy Policy, which can be found here, explains how we collect, use, disclose, and protect your personal information when you use our Services. By accessing or using the Services, you agree to the collection, use, disclosure, and protection of your personal information in accordance with our Privacy Policy.
Please read the Privacy Policy carefully to understand our practices regarding your personal information and how we will treat it. If you do not agree with our Privacy Policy, you should not use our Services.

Our Services may contain links to third-party websites, products, or services that are not owned or controlled by Coder Sports Academy. 11. Limitation of Liability and Disclaimer of Warranties
To the maximum extent permitted by law, Coder Sports Academy, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, or goodwill, arising out of or in connection with your access to, use of, or inability to use the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damages.
Coder Sports Academy provides the Services on an “as is” and “as available” basis without any warranties of any kind, whether express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, and we make no representations or warranties regarding the accuracy, reliability, timeliness, or completeness of any content provided through the Services.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Coder Sports Academy, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of, or inability to use, the Services; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right; or (iv) any claim that your User-Generated Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.
13. Termination and Suspension of Services
Coder Sports Academy reserves the right, at its sole discretion, to terminate or suspend your access to and use of the Services, without prior notice, for any reason or no reason, including but not limited to: (i) your breach of these Terms; (ii) your violation of any applicable law or regulation; or (iii) your engagement in conduct that is harmful to the interests of Coder Sports Academy, other users, or third parties.
Upon termination, all rights granted to you under these Terms shall immediately cease, and you must promptly discontinue all access to and use of the Services. Termination of your access to and use of the Services does not relieve you from any obligations arising or accruing prior to such termination or limit any liability that you otherwise may have to Coder Sports Academy, including but not limited to any indemnification obligations contained in these Terms.
14. Governing Law and Jurisdiction
These Terms and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, to resolve any legal matter arising from or related to these Terms or your use of the Services. Notwithstanding this, you agree that Coder Sports Academy shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining provisions of these Terms and shall not affect the validity and enforceability of the remaining provisions.
15. Dispute Resolution and Arbitration
a) Agreement to Arbitrate: You and Coder Sports Academy agree that any disputes, claims, or controversies arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, “Disputes”) shall be resolved exclusively through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.
b) Arbitration Rules and Procedures: The arbitration shall be administered by a recognized arbitration organization in the Province of Ontario, Canada, applying its rules and procedures. The arbitrator’s decision shall be final and binding on all parties and may be entered as a judgment in any court of competent jurisdiction.
c) No Class or Representative Proceedings: You and Coder Sports Academy agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
d) Opt-Out: If you do not wish to be bound by this arbitration provision, you must notify Coder Sports Academy in writing within 30 days of the date that you first became subject to this arbitration provision by emailing support@codersports.com with the subject line “Arbitration Opt-out.”
16. Changes to Terms of Service
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website and the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes. If we make any material changes to these Terms, we will notify you either through the email address you have provided us or by placing a prominent notice on our website.
17. Severability and Waiver
a) Severability: If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of the Terms of Service will continue in full force and effect.
b) Waiver: The failure of Coder Sports Academy to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Service will be effective only if in writing and signed by Coder Sports Academy.
18. Entire Agreement
These Terms of Service and any policies or operating rules posted by us on the site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
